1. About these Terms
These Website Terms of Use (“Terms”) govern your access to and use of the website operated by NairaLedger Technologies Ltd (“NairaLedger”, “we”, “us” or “our”), including the website available at www.nairaledger.com, its webpages, resources, early-access registration facilities and other website-based services made available by NairaLedger. By accessing, browsing or using this website, you agree to use it in accordance with these Terms and applicable law. If you do not agree with these Terms, you should discontinue use of the website.
These Terms apply to the corporate website and related pre-launch activities. They are not the final customer subscription or software-service agreement for EdgePlus. Separate terms and contractual arrangements will apply to customers who subscribe to or use the production version of EdgePlus.
2. About NairaLedger
NairaLedger Technologies Ltd is a technology company developing financial-management infrastructure and software solutions designed to support businesses, professionals and advisors. Our flagship product, EdgePlus, is being developed as a cloud-based accounting and business-management platform designed to support SMEs, self-employed professionals, accountants and advisors. Information concerning EdgePlus on this website may describe:
- functionality currently under development;
- product prototypes;
- planned capabilities;
- product concepts;
- proposed integrations;
- future roadmap items;
- early-access functionality; and
- features being evaluated for future release.
Unless expressly stated otherwise, descriptions of planned or proposed functionality should not be interpreted as representing that the functionality is currently commercially available.
3. Website purpose
The NairaLedger website is intended to provide information about NairaLedger Technologies Ltd. and EdgePlus; communicate our business and product vision; provide information for SMEs, accountants, advisors, investors and other stakeholders; facilitate early-access and waitlist registration; publish company, product and educational information; support investor and stakeholder engagement; provide contact and enquiry facilities; and communicate product-development and launch information. The website is primarily informational and pre-launch in nature.
4. Eligibility and appropriate use
You may use this website only where your use is lawful. By submitting information through the website, you represent that:
- the information you provide is accurate to the best of your knowledge;
- you are legally permitted to provide the information;
- your use does not violate the rights of another person; and
- you will not use the website for unlawful, fraudulent, abusive or malicious purposes.
Where you provide information on behalf of a business or organisation, you represent that you have appropriate authority to provide such information.
5. EdgePlus development status
EdgePlus is currently under development. Product screenshots, prototypes, workflow demonstrations, financial-centre interfaces, dashboards, reports and other product materials displayed on this website may represent prototypes, demonstration environments, illustrative sample data, conceptual workflows, proposed functionality or functionality under active development. They should not automatically be interpreted as representations that the functionality is currently available in a production environment. NairaLedger may modify product functionality, interface design, workflows, integrations, modules, technical architecture, pricing, subscription plans, release dates, roadmap priorities and other product characteristics as development progresses.
6. Product roadmap and future features
The website may refer to future or planned functionality. Roadmap information is provided for general informational purposes and reflects NairaLedger's intentions or expectations at the time of publication. Product-development priorities may change due to customer feedback, technical considerations, regulatory or security requirements, market conditions, commercial priorities, integration availability, testing results or other business considerations. Unless NairaLedger expressly enters into a written contractual commitment stating otherwise, roadmap information does not constitute a binding commitment to deliver a particular feature by a particular date.
7. Early access and waitlist
The website may allow users to register for the EdgePlus waitlist, early-access opportunities, beta testing, product demonstrations, research activities or launch communications. Joining the waitlist does not:
- create a customer relationship;
- create a software subscription;
- guarantee access to EdgePlus;
- guarantee selection for beta testing;
- guarantee a particular launch date;
- guarantee pricing;
- guarantee access to any specific functionality; or
- create an obligation on NairaLedger to provide a product or service.
NairaLedger may determine the timing, availability and eligibility criteria for early-access participation.
8. Waitlist information
When registering for early access or joining the waitlist, you agree to provide information that is reasonably accurate and current. You should not impersonate another person; submit another person's information without appropriate authority; submit false or misleading information; use automated methods to generate registrations; interfere with the integrity of the waitlist; or attempt to manipulate waitlist metrics. NairaLedger may remove registrations that appear fraudulent, duplicated, automated, abusive or otherwise inappropriate. Personal data submitted through the waitlist is processed in accordance with the NairaLedger Privacy Policy and applicable privacy notices.
9. Communications
Where you provide the appropriate consent, NairaLedger may send communications concerning EdgePlus early access, beta testing, product-development updates, product launches and related information. Where you separately elect to receive corporate, investor, partnership or other communications, those preferences will be administered in accordance with applicable data-protection and electronic-communications requirements. Where processing relies upon consent, you may withdraw your consent or unsubscribe using the mechanism provided in the communication or by contacting privacy@nairaledger.com.
10. No professional advice
Information made available through the NairaLedger website is provided for general informational and educational purposes. Unless expressly agreed through a separate professional engagement, information on this website does not constitute personalised accounting, tax, legal, investment, financial, audit, regulatory or other professional advice. You should obtain appropriate professional advice where your circumstances require it. NairaLedger's development of accounting, tax, compliance or financial-management software does not mean that general information displayed on the website constitutes a professional opinion concerning a particular person's or organisation's affairs.
11. Accounting, tax and compliance information
The website may discuss accounting, taxation, VAT, withholding tax, payroll, reporting, regulatory compliance or related subjects. NairaLedger, EdgePlus, associated logos, product identities, taglines and other branding displayed on the website may constitute trademarks, registered trademarks, pending trademarks, trade names or other proprietary identifiers of NairaLedger Technologies Ltd, as applicable. Nothing in these Terms grants a user a licence to use NairaLedger branding except with prior written permission or as otherwise permitted by law. You must not use NairaLedger or EdgePlus branding in a manner that suggests an unauthorised partnership or endorsement, creates confusion about ownership, misrepresents your relationship with NairaLedger, or infringes NairaLedger's intellectual-property rights.
15. Limited permission to use website content
NairaLedger grants visitors a limited, revocable, non-exclusive and non-transferable permission to access and use the website for legitimate personal, professional or business-information purposes. Unless otherwise permitted by law or authorised in writing, you must not:

28. Limitation of liability
To the extent permitted by applicable law, NairaLedger will not be liable for indirect, incidental, consequential or special loss arising solely from reliance upon general informational content on the public website. This may include, where legally permissible, loss of anticipated profits, loss of business opportunity, indirect business interruption or consequential losses arising from reliance on non-contractual website information. This limitation does not apply where liability cannot lawfully be excluded or limited. The liability provisions applicable to paying EdgePlus customers will be addressed separately in the applicable EdgePlus subscription or service agreement.
29. Indemnity
To the extent permitted by applicable law, you may be responsible for losses, liabilities, claims or reasonable costs arising directly from your unlawful use of the website, deliberate infringement of NairaLedger's rights, or material breach of these Terms. This provision does not create liability beyond what is permitted under applicable law.
30. Suspension and restriction
NairaLedger may restrict or suspend access to website functionality where reasonably necessary to protect website security, investigate suspected abuse, comply with law, protect other users, prevent fraud, respond to cybersecurity threats or enforce these Terms. Where appropriate and reasonably practicable, proportionate measures will be used.
31. Changes to the website
NairaLedger may change website design, content, navigation, features, pages, early-access functionality, product information and other website elements as the company and EdgePlus develop. Material changes affecting personal-data processing will be handled in accordance with applicable privacy requirements.
32. Changes to these Terms
NairaLedger may update these Terms from time to time to reflect changes in law, regulatory requirements, changes to website functionality, changes to our business, security requirements or other operational developments. The current version and effective date will be published on the website. Continued use of the website following an update constitutes acceptance of the updated Terms to the extent permitted by applicable law. Where a separate affirmative acceptance is legally required, NairaLedger will implement an appropriate acceptance mechanism.
33. Relationship with other agreements
These Terms govern use of the public NairaLedger website. They do not replace separate agreements that may govern EdgePlus subscriptions, beta participation, software licensing, data processing, confidentiality, investments, advisory engagements, partnerships, employment, professional services or other commercial relationships. Where a specific written agreement between you and NairaLedger conflicts with these Website Terms regarding the subject matter of that agreement, the specific written agreement will generally govern that subject matter.
34. Severability
If any provision of these Terms is found by a competent authority to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
35. No waiver
Failure by NairaLedger to enforce a provision of these Terms on one occasion does not constitute a waiver of the right to enforce that provision or another provision later.
36. Governing law and jurisdiction
These Terms shall be governed by the laws of the Federal Republic of Nigeria, subject to any mandatory laws that may apply to a user in another jurisdiction and cannot lawfully be excluded. Any dispute arising from these Terms shall be handled in accordance with applicable law and any dispute-resolution mechanism NairaLedger may lawfully establish. Nothing in these Terms prevents either party from exercising rights or remedies available under mandatory applicable law.
37. Regulatory compliance
NairaLedger seeks to develop and operate its website and services in accordance with applicable legal and regulatory requirements. Depending on the activity concerned, these may include requirements relating to data protection and privacy, cybersecurity, corporate law, intellectual property, electronic communications, consumer protection, taxation and other laws applicable to NairaLedger's operations. References to regulatory readiness on the website should not be interpreted as a representation that every future EdgePlus module, integration or jurisdictional requirement has already received regulatory approval.
